1. Acceptance of Terms
By accessing and using Nexum ("the Platform"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
2. Description of Service
Nexum is a demand-driven marketplace that connects buyers, suppliers, and entrepreneurs. Our platform enables:
- Buyers to place bids on products at their desired prices
- Suppliers to receive guaranteed orders based on aggregated demand
- Entrepreneurs to launch products through IPO-style offerings
3. User Accounts
To use certain features of the Platform, you must register for an account. You agree to:
- Provide accurate, current, and complete information
- Maintain the security of your password and account
- Accept all risks of unauthorized access to your account
- Notify us immediately of any breach of security
4. Bidding and Transactions
When you place a bid on the Platform:
- A collateral hold may be placed on your payment method
- You are committing to purchase if the supplier accepts your bid
- Collateral is fully refundable until a supplier accepts your bid
- Once accepted, the transaction becomes binding
5. Supplier Obligations
Suppliers on the Platform agree to:
- Complete business verification (KYB) before listing products
- Fulfill accepted orders within the specified timeframe
- Provide accurate product descriptions and images
- Maintain quality standards as represented
6. IPO Offerings
Product IPO offerings are subject to:
- Minimum order quantity thresholds
- Time-limited offering periods
- Refund of contributions if minimum is not reached
- Delivery timelines specified in each offering
7. Fees and Payments
Nexum charges platform fees on successful transactions. Payment processing is handled by our partner, Stripe. All fees are disclosed before transaction completion.
8. Limitation of Liability
Nexum shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the service.
